Notice of Annual General Meeting 2007

To receive the report of the Directors and the audited accounts for the year ended 31 March 2007.

To note the retirement of tenant director Jennifer Allinson from the Board of Directors.

To note the retirement of tenant director Jose Derrick from the Board of Directors.

To note the retirement of tenant director Lily McCall from the Board of Directors.

To note the retirement of independent director Helen Fentimen from the Board of Directors.

To approve the appointment of tenant director Jose Derrick to the Board of Directors.

To approve the appointment of tenant director Lily McCall the Board of Directors.

To approve the appointment of tenant director Bryan Greenwood to the Board of Directors.

To approve the appointment of tenant director Michael Shepherd to the Board of Directors.

To re-appoint, by Ordinary Resolution, KPMG Llp as Auditors of the Company to hold office until the conclusion of the next general meeting at which accounts are laid before the Company; and to re-appoint, by ordinary resolution, KPMG to undertake tax compliance work for the Company, in addition to their duties as Auditors, such re-appointment also to be effective until the conclusion of the next general meeting at which accounts are laid before the Company.

To authorise, by Ordinary Resolution, the Directors to determine the remuneration of the Auditors, both for that office and for the undertaking of tax compliance work for the Company.

To approve the record of attendance by Directors for the year 2006/07.
